Capital meets opportunity.
Structured. Discreet. Direct.

Path 1 · Owners & entrepreneurs

I am an owner or entrepreneur.

A financing facility is expiring, a project needs additional capital, a shareholding is to be restructured or an asset is to be sold discreetly. In special situations, the outcome depends not only on value, but also on timing, structure and process.

Our aim is to make your options visible early, while you can still decide for yourself on partners, information and next steps.

Path 2 · Investors

I am an investor.

You are looking for real estate, equity interests or companies in particular circumstances. We review specific situations from a legal perspective, structure the process and, where the constellation fits, establish direct contact with owners or decision-makers.

Owners & entrepreneurs

Options, before time pressure dictates the process.

Not every special situation calls for a sale. Depending on the circumstances, different structures may be considered.

Three structures

Open the box. Which structure fits depends on the asset, the financing, the shareholder base and the timeframe.

Your starting point
01 · Equity participation / joint ventureAn investor provides equity or growth capital and takes a stake in the project or company. Ownership and control rights are structured individually.
02 · Refinancing / bridge financingNew financing or a bridge structure can buy time to complete a project, repay an existing facility or prepare a long-term solution.
03 · Partial or full transactionThe sale of individual assets, a portfolio, a shareholding or a company can be prepared in a structured and targeted manner, before external time pressure determines the negotiating position.

Confidentiality is part of the transaction structure.

In off-market transactions and special situations, control over information is decisive. Which parties are approached, what information they receive and when further documents are released is agreed with the client.

Parties are approached selectively, not through an uncontrolled mass mailing. Depending on the process, sensitive information may be disclosed only once an appropriate non-disclosure agreement is in place.

As a law firm, we are bound by legal professional privilege.

Typical situations

A financing facility is expiring.Follow-on financing has not been secured, although the property or company is economically viable.
A project is under construction.Additional capital is needed for completion; every delay incurs costs.
Liquidity is tied up in the short term. The asset holds its value, but a payment default or an additional claim is straining current liquidity.
The company as a whole.Succession, a shareholder dispute, growth financing or the sudden loss of a supplier or key customer.

Questions

Frequently asked questions

Does it make sense to seek advice before insolvency?

Yes. As long as no proceedings have been opened, the owners and management decide for themselves on partners, information and timing. Once proceedings are opened, key decisions pass to the insolvency administrator. Structuring early keeps more options open.

Do I have to sell?

Not necessarily. Depending on the circumstances, an equity participation, a refinancing or bridge financing may also be considered. A sale is one of several options.

Will my financing bank be involved?

Whether and when financing banks are involved is agreed with you. In many cases, early and structured communication with the bank is part of the solution.

What does the initial consultation cost?

The initial consultation is free of charge. We review the circumstances and give you a candid initial assessment. For a mandate, the fee is agreed transparently in advance.

I am an investor. When will I be contacted?

Only when there is a specific match with the investment criteria you have submitted and after the owner has consented to an approach. We do not send mass mailings.

Do you buy yourselves or act as intermediary?

We do not invest ourselves. As a law firm, we advise on and structure transactions and, within the scope of a mandate, may bring suitable parties together. Our focus is on the legal structuring and implementation of each transaction.

How do you prevent an off-market opportunity from being circulated uncontrollably?

The approach to potential investors is agreed with the client. We work with specific search profiles and targeted approaches rather than broad distribution. What information is disclosed at which stage depends on the agreed process.

We are based abroad. Is that an obstacle?

No. We advise clients from Austria and abroad, including without a permanent presence in Austria, for example by power of attorney, escrow arrangements and electronic signature. Advice is available in six languages.

How are my documents handled?

As a law firm, we are bound by legal professional privilege. Documents are passed on to specific parties only to the agreed extent and with your approval.

Perspective

What is not in the data room?

Some of the information that decides whether an investment succeeds or fails is not in any data room. It is not a document but a change – in pace, in tone, in who is responsible.

A well-organised data room can be impressive. Thousands of documents, sometimes hundreds of thousands of pages – and at some point a reassuring feeling: we know the company. But do we really?

Perspective

AI and Investments: Oracle or Adversary?

Artificial intelligence may be most valuable in the investment process not as an oracle that confirms our investment thesis, but as an adversary that builds the strongest case against it.

Artificial intelligence is changing investing. It reads data rooms, analyses contracts, compares transactions, recognises patterns and runs scenarios at a speed that would have been unthinkable only a few years ago.
